Terms & Conditions

These Terms and Conditions of Service ("Terms") form a legal agreement between Web Designs by Tlotly ("I", "me", "my") and you ("Client") for all web design and development services. By accepting a quote or paying a deposit, you agree to be bound by these Terms.

1. Project Scope and Responsibilities

Project Agreement

The Scope of Work (what I will deliver) will be clearly defined in a separate written proposal or quote. I agree to deliver the services as described in that document. Any work requested outside of this agreed scope will be considered a Change Request and may require an additional fee and timeline adjustment.

Client Responsibility

You agree to provide all necessary content (text, images, logos) in a timely manner. Delays in providing content will directly impact the project timeline. You confirm that you own all the intellectual property rights for the content you provide to me.

2. Payments and Fees

Payment Structure

All projects require a 50% non-refundable deposit to begin work and secure your slot in my schedule. The remaining 50% balance is due upon the final completion of the website but before it is fully launched, transferred to your ownership, or made live.

Outstanding Fees and Penalties

The final balance must be paid within 14 calendar days of the date I notify you that the project is complete and ready for launch. Failure to pay within this period will result in the following:

• Late Payment Fee: A penalty fee of 5% of the outstanding balance will be added on the 15th day.
• Outstanding Fees: An additional 2% per week interest will be applied to the remaining balance until the full payment is received.
• Suspension of Services: If payment is outstanding for more than 30 days, all work will cease, and I reserve the right to suspend or remove any un-launched or unfinished website from my servers.

3. Cancellation and Refunds

Cancellation by Client

If the Client chooses to cancel the project at any time, the following refund rules apply:

• Initial 50% Deposit: The initial deposit is non-refundable. This fee covers the initial consultation, strategy, and time reserved in my schedule.
• Work Completed: If cancellation occurs after the initial design and development work has begun (i.e., you have seen drafts or mockups), you will be invoiced for the full amount of the work completed up to the date of cancellation, based on my hourly rate, and this will be deducted from any amount paid above the deposit.
• No Refunds After Launch: Once the final payment is made and the website has been launched or transferred to your hosting, no refunds will be provided.

Cancellation by Tlotly

If, for unforeseen circumstances (e.g., illness, personal emergency), I must cancel the project, I will refund all monies paid, including the 50% deposit, within 7 business days.

4. Intellectual Property and Ownership

Upon final payment of the full project fee, the Client will own all rights to the finished website design, content, source code, and graphics created specifically for the project. Until full payment is received, ownership of the website remains with Web Designs by Tlotly.

5. Review and Acceptance

Upon completion, I will present the final website to you. You are allowed one major round of revisions after this presentation, to ensure the site meets the agreed-upon scope. Once you provide written (email) confirmation of your acceptance, the project is considered finished, and any further changes fall under ongoing maintenance or a new contract.

6. Warranties and Liability

I provide a 30-day warranty following the launch date, covering any bugs or errors in the code I developed. This warranty does not cover issues caused by third-party plugins, hosting failures, or misuse of the site by the Client. My liability is strictly limited to the total fees paid by the Client for the services.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of South Africa.
